Operator, scope and agreement

Nevara Ventures Inc., operating as Zyvar, provides zyvar.ca and its community subdomains. These Terms govern Zyvar accounts, business listings, subscriptions, reports and FastResponse. The educational website also has Terms of Use at /terms. For paid services, these service Terms control if those website terms conflict.

You must have authority to bind the business when ordering services or managing its account. Your accepted order or written proposal defines the purchased scope, markets, price and any expressly agreed variations. Mandatory legal rights always prevail.

What Zyvar provides

Zyvar supports local business discovery and helps businesses organize and improve the information customers use to understand them. Services vary by plan and community. The Discover search experience is separate from the Discover business subscription.

Payment begins onboarding; it does not automatically publish a listing. Publication is subject to review of the submitted information and business authority. An unclaimed profile or verification label is not a guarantee of quality, licensing or suitability. Visitors should confirm business credentials, availability and quotations directly.

Zyvar does not guarantee search positions, AI recommendations, inquiry volumes, sales, revenue or a return on investment. Reports provide observations and recommendations based on available information at the time, not regulated professional advice.

Subscriptions, billing and taxes

Unless an accepted proposal expressly states otherwise, standard subscriptions are billed monthly in advance in Canadian dollars, plus applicable taxes. The first billing period begins when the initial Stripe checkout payment succeeds and includes account setup and onboarding. Subsequent charges recur each month until cancelled.

Before paying, review the plan, amount, billing interval and applicable taxes displayed at checkout. By purchasing a subscription, you authorize the recurring charges disclosed there. Keep your payment method and billing contact current. Zyvar will not charge an undisclosed setup or cancellation fee.

If Zyvar cannot provide the purchased service, contact support so we can correct the issue or refund the undelivered portion. Customer delays in supplying required information may delay publication; contact us promptly if you need to pause before renewal.

Cancellation and plan changes

You may cancel renewal through an available billing-management control or by emailing [email protected] from your account email with the business name and a clear cancellation request. Do not send card details. Cancellation takes effect at the end of the current paid billing period, with service continuing until then unless an earlier suspension is required for security or unlawful use.

For an email cancellation, the time Zyvar receives your identifiable request determines whether the next renewal should be stopped. We will confirm the effective date. If processing delay causes a renewal after a timely request, we will reverse that renewal charge. Cancellation does not erase amounts already due or automatically delete records.

A plan or market change requires confirmation of the new scope, price, effective date and any prorated amount before it takes effect. Deleting a listing or opting out of SMS does not by itself cancel a subscription.

Refunds, credits and payment problems

Unused days in a paid monthly period are not ordinarily refunded after voluntary cancellation. This does not limit rights required by law. Duplicate charges, billing errors and service that Zyvar cannot deliver will be reviewed and corrected, including a refund or credit where appropriate.

If a payment fails, Stripe handles payment-recovery emails and retries on Zyvar’s behalf during the configured one-month recovery period. Zyvar does not charge an additional retry fee. If recovery is exhausted without payment, Zyvar suspends paid service while preserving the subscription for recovery. The unpaid invoice remains outstanding, subject to applicable billing corrections or credits.

During suspension, the Zyvar listing is no longer public, and client-priority placement and referrals to that listing cease. The business may remain eligible for ordinary search results on the same basis as non-clients, without a link to the unpublished listing. Account access is restricted to billing recovery and support. Listing content and restoration setup remain private through the end of the calendar month following suspension.

Before closure, restoration requires settlement of outstanding amounts and payment of any charge for resumed service. We do not charge for the period when paid service is disabled. Contact support to confirm the amount and renewal date. Updating a payment card alone does not settle an invoice or restore service.

If the balance remains unresolved at the end of that recovery window, Zyvar closes the service account and cancels the subscription. For example, suspension on June 30 is followed by a recovery window through July 31. A return after closure requires a new subscription, fresh onboarding and acceptance of current terms.

For 60 calendar days after closure, Zyvar retains a limited private archive of listing content and setup to support a possible return. During new onboarding, returning clients may request restoration of that content, subject to review and confirmation. The archive is then automatically deleted. This archive excludes inquiry content and unrelated personal data; financial, legal, consent and suppression records follow separate retention requirements.

Reports, Early Adoption and custom orders

A one-time report does not create a recurring subscription. Its order must identify the report, total price, taxes, deposit, balance, delivery scope and any cancellation treatment before payment. Where a deposit/balance arrangement is offered, the balance is due at delivery readiness and final delivery may depend on payment as disclosed in the order.

A deposit is not automatically non-refundable under these Terms. Any proposal to retain a deposit for completed work must be stated and accepted in the specific order, subject to applicable law. Zyvar will address cancellation and undelivered work according to that order.

Early Adoption or other no-charge access does not automatically convert to a paid subscription. A separate paid offer must be accepted. Multi-Market and custom work requires an accepted proposal before private checkout; presence in one community does not purchase coverage in another.

Business-client responsibilities and content

Keep business names, contact details, services, prices, qualifications and claims accurate. You are responsible for permissions to submit content and personal information, for your authorized account users, and for lawful handling of inquiries received by your business.

You retain rights in content you provide and grant Zyvar permission to host, display, format and use it as reasonably necessary to deliver the agreed service. Do not submit unlawful, misleading or infringing material, impersonate a business, scrape protected information or attempt to bypass access controls.

Protect sign-in credentials and report suspected misuse promptly. Businesses independently fulfil their products and services and resolve customer disputes. Zyvar is not a party to a visitor's purchase from a listed business unless expressly stated.

FastResponse SMS consent

FastResponse is an optional inquiry-notification service for eligible business recipients. SMS is available only where the messaging program is enabled. It is not a visitor marketing list and must not be used for emergencies.

Before SMS notifications are enabled, the recipient must separately and affirmatively consent at the designated mobile number and complete number verification. Entering a number or accepting these Terms alone does not enroll it. The recipient must be the subscriber or an authorized user of that number. If a business nominates another person, that person must complete enrollment.

Consent covers FastResponse inquiry alerts, not unrelated promotional messages. Message frequency varies with inquiry activity. Message and data rates may apply. Verification messages are used to confirm number control; verification alone does not establish consent to inquiry alerts.

Stopping SMS and provider responsibilities

Reply STOP to stop FastResponse SMS, reply HELP for program help, or email [email protected]. You may also use available account notification controls. A final opt-out confirmation may be sent. SMS withdrawal does not cancel the underlying subscription or prevent necessary non-SMS account communications.

Tell Zyvar when you stop using an enrolled number. A replacement number requires fresh consent and verification. A START reply does not by itself restore Zyvar account eligibility: renewed enrollment with the current disclosure is required.

Twilio provides messaging transport. Its Terms of Service and Messaging Policy describe provider requirements; links are supplied below. Zyvar remains responsible for its own consent collection, records, suppression and lawful use of the service. Provider policies do not replace these obligations.

SMS delivery depends on providers and carriers and is not guaranteed. Notifications already accepted by a carrier may be outside Zyvar's control when an opt-out arrives. Businesses remain responsible for checking their available inquiry dashboard and responding to customers.

Privacy, availability and suspension

The shared Privacy Policy explains processing across Zyvar sites, accounts and inquiries. Contact support before submitting information that is sensitive or outside the purpose of a form. FastResponse does not accept attachments.

Services depend on hosting, identity, payment, messaging and search providers. We take reasonable care but do not promise uninterrupted or error-free operation. We may restrict access to address security, unlawful use, non-payment or loss of eligibility, and will give notice where appropriate and feasible.

On termination, paid access may end and listings may be unpublished or reduced to an eligible public profile. Cancellation, public-profile correction and personal-information deletion are separate requests. Records needed for legal obligations, billing, disputes or consent evidence may be retained as explained in the Privacy Policy.

Accessibility

For assistance, alternative formats or accessibility feedback, use the Accessibility statement linked below or email [email protected]. We will work with you on a practical way to access the service.

Changes, responsibility and applicable law

Zyvar will notify affected subscribers of material changes to these Terms or recurring prices before they apply, ordinarily at least 30 days before a renewal affected by the change. You may cancel renewal before the change takes effect. We will request renewed acceptance where required; updates do not rewrite the Terms previously accepted for an earlier order.

To the extent permitted by law, general information and third-party results are provided without a guarantee of accuracy or fitness for a particular decision. Nothing in these Terms excludes liability or rights that cannot lawfully be excluded.

These Terms operate under the applicable laws of Ontario and Canada without displacing mandatory rights in another jurisdiction. Contact [email protected] first so we can investigate a dispute. No mandatory arbitration or class-action waiver is imposed by these Terms.
